Terms of Service

Last updated: 6 October 2026

1. Agreement

These Terms of Service (“Terms”) govern access to and use of the Mili platform, applications and website (the “Services”), provided by Mili Software, Inc., a Delaware corporation with offices at 108 W. 13th Street, Suite 100, Wilmington, DE 19801 (“Mili,” “we,” “us”).

By accessing or using the Services, you agree to these Terms. If you are agreeing on behalf of a firm, you represent that you have authority to bind that firm, and “you” and “Customer” refer to that firm.

Where Mili and a Customer have signed a separate written agreement covering the Services, that agreement governs and prevails over these Terms to the extent of any conflict.

2. Definitions

  • “Authorized User” means an individual a Customer permits to use the Services under its account.
  • “Customer Data” means data a Customer or its Authorized Users submit to, or generate through, the Services, including meeting content, transcripts, notes, client records, documents and data synchronised from connected systems.
  • “Output” means notes, summaries, extracted data, drafted communications and other material generated by the Services using artificial intelligence.

3. The Services

Mili provides an AI assistant for wealth advisors and other financial services professionals, covering meeting documentation, client data management, follow-up workflows and related capabilities. Subject to these Terms, Mili grants Customer a non-exclusive, non-transferable right to access and use the Services during the subscription term for its internal business purposes.

The Services are offered to customers located in the United States.

We may modify or improve the Services over time. We will not materially reduce the core functionality of a paid subscription during its term without notice.

Mili and its licensors own all right, title and interest in and to the Services, including all software, models, designs, documentation, trademarks and other intellectual property in them, and all improvements and derivatives of them. Mili reserves all rights not expressly granted to Customer in these Terms.

If Customer or an Authorized User sends Mili any question, comment, suggestion, idea or other feedback about the Services (“Feedback”), Customer assigns to Mili all intellectual property rights in that Feedback. Mili owns the Feedback and may use and share it for any lawful purpose, commercial or otherwise, without acknowledgment or compensation. Feedback does not include Customer Data.

4. Accounts and eligibility

The Services are for business use by individuals aged 18 or over. Customer is responsible for maintaining the confidentiality of account credentials, for activity under its account, and for ensuring that Authorized Users comply with these Terms. We recommend enabling multi-factor authentication; single sign-on and SAML provisioning are available.

5. Customer Data

As between the parties, Customer owns all Customer Data and all Output generated from it. Customer grants Mili a limited licence to host, process and transmit Customer Data to provide and support the Services, as instructed by Customer, and as permitted below.

Mili may collect data about the use and performance of the Services, and may anonymise and aggregate it so that it does not identify Customer, any Authorized User or any other individual (“Aggregated Data”). Mili owns Aggregated Data and may use it for statistics and to operate, analyse and improve the Services. Aggregated Data is never used to train artificial intelligence models and is never derived from Google user data.

Mili does not use Customer Data to train artificial intelligence models, and every subprocessor that handles Customer Data is contractually prohibited from doing so. Mili can require deletion of Customer Data held by a subprocessor at any time. Mili’s current subprocessors are listed on our subprocessors page.

Customer controls how the Services handle its data, including meeting capture mode, retention periods, redaction categories, consent workflows and archiving export. Customer is responsible for the configuration it selects.

6. Meeting capture, notices and consent

Audio and video recording is off by default. Customer may enable audio capture and select capture modes for its organisation.

Federal and state laws govern the recording of conversations and the notice or consent required. Several states require the consent of all participants. Customer is solely responsible for determining what notice and consent its meetings require, for obtaining that consent, and for configuring the Services accordingly.

Mili provides audible and on-screen meeting notices, consent capture and contact-level consent history to support Customer in meeting these obligations. These are tools, not legal advice, and their availability does not transfer responsibility to Mili.

7. AI-generated Output

The Services use artificial intelligence to generate Output. Output is produced on a best-effort basis and may be incomplete or inaccurate, including by attributing content that was not said or by omitting content that was.

Output is presented for review and is not synchronised to a connected system or sent to any recipient without an Authorized User taking that action. Customer is responsible for reviewing Output before relying on it, entering it into a client record or books and records, or communicating it to a client or third party.

Output is not legal, tax, compliance or investment advice, and is not a substitute for the professional judgement of a licensed advisor.

8. Customer compliance responsibilities

Mili is designed for use by financial services firms and acts as a service provider to them. Customers of the Services are typically subject to obligations under the Investment Advisers Act, FINRA rules, Regulation Best Interest, Regulation S-P and the Gramm-Leach-Bliley Act, and to comparable state requirements.

Customer remains responsible for its own regulatory obligations, including books-and-records retention, supervision and review of communications, safeguarding of customer information, and any notices or consents owed to its clients.

Mili supports these obligations through configurable retention, archiving and supervision export, audit logging, consent capture and redaction controls, and by maintaining a security programme examined under SOC 2 Type 2 and certified to ISO/IEC 27001:2022. Mili does not provide legal, compliance, tax or investment advice, and nothing in the Services constitutes a determination that a Customer has met its regulatory obligations.

9. Acceptable use

Customer and its Authorized Users will not:

  • Use the Services in violation of applicable law, or to infringe the rights of others.
  • Use the Services where the use would be subject to industry-specific regulations the Services are not designed to meet, including the Health Insurance Portability and Accountability Act (HIPAA) and the Federal Information Security Management Act (FISMA).
  • Upload material containing malware, or interfere with or disrupt the Services or the infrastructure supporting them.
  • Circumvent or attempt to circumvent authentication, access controls or usage limits.
  • Reverse engineer, decompile or attempt to derive the source code of the Services, except where applicable law expressly permits it.
  • Use the Services to build a competing product or service, or to benchmark them for that purpose without our written consent.
  • Resell, sublicense or make the Services available to any third party other than Authorized Users.
  • Access or use the Services through automated means except through interfaces we provide for that purpose.

We may suspend access where use presents a security risk, threatens the integrity of the Services, or violates this section, with notice where practicable.

10. Integrations

The Services can connect to third-party systems including CRM, calendar, email, financial planning and custodial platforms. Customer authorises these connections and the scope of access granted. Third-party services are governed by the Customer’s agreement with the relevant provider, and Mili is not responsible for their availability, accuracy or security.

Where Customer connects Google Workspace, Mili requests only narrow, granular permissions and can open only the Drive files an Authorized User selects through the Google Drive picker. Mili’s use and transfer of information received from Google APIs to any other app adheres to the Google API Services User Data Policy, including the Limited Use requirements. Further detail is set out in our privacy policy.

11. Fees, subscriptions and trials

Fees, billing frequency and subscription term are as set out in the applicable order or in the plan selected at sign-up. Subscriptions renew automatically unless cancelled before the end of the then-current term. Fees are payable in US dollars and are exclusive of taxes.

Customer authorises Mili to charge its chosen payment method on a recurring basis, at the prices then in effect, without requiring prior approval for each recurring charge, until the subscription is cancelled. Customer will keep its payment information current and accurate.

A free trial of 14 days is available to new customers, starting when the organisation signs up. At the end of the trial, continued access requires a paid subscription or a licence assigned by an administrator.

We may change prices at any time, and will communicate price changes in accordance with applicable law. We may correct errors in pricing, even after payment has been requested or received. All purchases are non-refundable. Cancellation takes effect at the end of the current paid term; Customer retains access until that date.

12. Confidentiality

Each party may receive confidential information of the other. The receiving party will protect it with at least reasonable care, use it only in connection with these Terms, and disclose it only to personnel, advisers and, in Mili’s case, affiliates and subprocessors who need it and are bound by confidentiality obligations. This does not apply to information that is public through no fault of the receiving party, independently developed, or lawfully received from a third party. Disclosure required by law is permitted, with notice where legally allowed.

13. Security and privacy

Mili maintains administrative, technical and organisational safeguards designed to protect Customer Data, described in our privacy policy. Our SOC 2 Type 2 report is available to customers and prospective customers under a non-disclosure agreement, and our ISO/IEC 27001:2022 certificate is available on request. A data processing addendum is available on request and, once executed, forms part of the agreement between the parties.

Customer Data is processed and stored in the United States. Mili’s engineering and support teams include personnel located in India, a limited number of whom may access Customer Data where necessary to provide support or maintain the Services, on a need basis and subject to the controls described in our privacy policy.

We will notify Customer of a security breach affecting its Customer Data without undue delay, and in any event within 72 hours of becoming aware of it.

14. Support and availability

Support is available to all customers on every plan at support@getmili.ai. We aim to make the Services continuously available but do not guarantee uninterrupted availability. Any committed service levels are set out in a signed agreement or service level addendum.

15. Term, termination and data on exit

These Terms apply for as long as Customer uses the Services. Either party may terminate for material breach that remains uncured 30 days after written notice. Mili may suspend or terminate for non-payment or for use that creates a security or legal risk.

Without limiting any other provision of these Terms, Mili may, in its sole discretion and without notice or liability, deny access to and use of the Services to any person, and suspend or terminate any account, at any time, for any reason or for no reason. If Mili terminates or suspends an account, the Customer and its Authorized Users may not register a new account under their own name, a false or borrowed name, or the name of any third party.

On termination, Customer may export its Customer Data for 30 days, after which Mili will delete it in accordance with the applicable agreement, with copies in backups removed on the standard backup cycle. Customer is responsible for retaining any records it is required to keep under its own regulatory obligations, and should use the export and archiving features before termination takes effect.

16. Disclaimers

The Services are provided “as is” and “as available”, and Customer’s use of them is at its sole risk. To the fullest extent permitted by law, Mili disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Mili does not warrant that Output will be accurate, complete or suitable for any particular purpose, or that the Services will be uninterrupted or error-free.

To the fullest extent permitted by law, Mili assumes no liability or responsibility for any unauthorised access to or use of its servers or any personal or financial information stored on them, or for any loss or corruption of data. Although Mili performs regular backups, Customer is responsible for the data it transmits to the Services and for maintaining its own copies, and waives any right of action against Mili arising from loss or corruption of data.

17. Limitation of liability

Mili’s aggregate liability arising out of or relating to these Terms will not exceed the lesser of the amount paid by Customer to Mili in the six months preceding the event giving rise to liability, or $1,000, with carve-outs outside the cap for breach of confidentiality, the indemnification obligations in Section 18, and fees owed. The carve-out for breach of confidentiality does not extend to claims arising from a security incident, including any unauthorised access to, or loss, corruption or disclosure of, Customer Data, which remain subject to the cap.

Neither party will be liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, lost revenue, or loss or corruption of data, even if advised of the possibility.

18. Indemnification

Mili will defend Customer against third-party claims that the Services infringe a US intellectual property right, and will pay damages finally awarded, provided Customer notifies Mili promptly and allows Mili to control the defence.

Customer will defend, indemnify and hold harmless Mili and its affiliates, and their respective officers, directors, employees, agents and partners, from and against any loss, damage, liability, claim or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: Customer’s or its Authorized Users’ use of the Services; breach of these Terms; Customer Data; Customer’s failure to obtain any notice or consent required for meeting capture; or violation of law or of the rights of a third party.

Mili reserves the right, at Customer’s expense, to assume the exclusive defence and control of any matter for which Customer is required to indemnify Mili, and Customer will cooperate, at its expense, with that defence. Mili will use reasonable efforts to notify Customer of any such claim on becoming aware of it.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. The parties will attempt to resolve any dispute informally for 30 days after written notice. Unresolved disputes will be finally settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, seated in Wilmington, Delaware. Each party waives any right to participate in a class or representative proceeding. Either party may seek injunctive relief in court to protect its intellectual property or confidential information.

Where a dispute proceeds in court rather than arbitration, it will be brought exclusively in the state and federal courts located in Wilmington, Delaware, and each party consents to the personal jurisdiction of those courts and waives any objection based on lack of personal jurisdiction or forum non conveniens.

No claim related in any way to the Services may be brought by either party more than one (1) year after the cause of action arose.

20. Changes to these Terms

We may update these Terms. We will post the updated version with a revised date and, where the change is material, notify Customer by email or through the Services. Updated Terms take effect for all customers on posting or on notice by email, as stated in that notice. By continuing to use the Services after the effective date, Customer agrees to the updated Terms.

21. General

Neither party may assign these Terms without the other’s consent, except to a successor in connection with a merger or sale of substantially all assets. Neither party is liable for delay or failure caused by events beyond its reasonable control. If any provision is held unenforceable, the remainder continues in effect. These Terms, together with the privacy policy, any data processing addendum and any signed agreement, constitute the entire agreement between the parties. Notices to Mili should be sent to the address below.
